These Terms constitute a legally binding agreement between you and Bisoneva Limited Company

These Services may include, but are not limited to, the organization and maintenance of financial records, preparation of financial reports, accounts payable and receivable management, bank reconciliation, payroll support, and related bookkeeping functions.

The Site serves as an informational and client intake platform, providing prospective and current clients with information about Bisoneva's Services, facilitating initial consultations, and enabling clients to submit inquiries and intake information electronically. The content on the Site is provided for general informational purposes and does not, by itself, constitute the rendering of professional accounting, financial, tax, or legal services.

Bisoneva reserves the right to modify, suspend, or discontinue any aspect of the Site or Services at any time, with or without notice, and without liability to you or any third party.

5. Intellectual Property

All content included on the Site — including, but not limited to, text, articles, descriptions, graphics, logos, icons, images, audio clips, digital downloads, data compilations, branding, trade dress, and software — is the exclusive property of Bisoneva Limited Company or its content suppliers and is protected by applicable United States and international copyright, trademark, trade secret, and other intellectual property laws.

The Bisoneva and Bisoneva Bookkeeping names, logos, and all related marks, designs, and slogans are trademarks or service marks of Bisoneva Limited Company. You are not granted any right or license to use any such trademarks, service marks, or trade names without the prior written consent of Bisoneva.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial informational purposes only, subject to these Terms. This license does not include any resale or commercial use of the Site or its contents.

No content from the Site may be copied, reproduced, republished, uploaded, posted, transmitted, distributed, modified, or used in any commercial manner without the prior express written permission of Bisoneva Limited Company. Unauthorized use of any content on the Site may constitute a violation of copyright, trademark, and other applicable laws and could result in civil and/or criminal liability.

7. SMS Program Consent

Bisoneva Limited Company may offer an SMS/text messaging communication program for client notifications, appointment reminders, and service-related communications. Participation in the Bisoneva SMS program is governed by the separate Bisoneva Client Messaging SMS Terms & Conditions, which are incorporated herein by reference and available upon request at  to-email-spencer/.

Where SMS opt-in is made available, your consent to receive SMS/text messages from Bisoneva is obtained through an express, affirmative action — specifically, by checking a designated opt-in checkbox on the applicable Form. By checking such a checkbox, you expressly consent to receive text messages from Bisoneva at the mobile number you provide.

The following terms apply to our SMS program:

• Consent is not a condition of service. You are not required to consent to receive SMS messages as a condition of purchasing or receiving any services from Bisoneva. Opting in is entirely voluntary
• Message frequency varies based on your service engagement and preferences.
• Message and data rates may apply based on your mobile carrier plan

Bisoneva's SMS communications are conducted in compliance with the Telephone Consumer Protection Act ("TCPA"), 47 U.S.C. § 227, and all applicable Federal Communications Commission (FCC) regulations. Bisoneva will not send marketing text messages to any individual who has not provided prior express written consent in accordance with TCPA requirements.

8. Disclaimer of Warranties

THE SITE AND ALL CONTENT, INFORMATION, MATERIALS, PRODUCTS, AND SERVICES PROVIDED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BISONEVA LIMITED COMPANY, ITS MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION:

• Loss of profits, revenue, data, or goodwill;
• Business interruption or loss of business opportunity;
• Cost of substitute goods or services; or
• Any other intangible losses;

arising out of or in connection with (i) your access to or use of, or inability to access or use, the Site or Services; (ii) any content or information obtained through the Site; (iii) any unauthorized access to or use of your information; or (iv) any other matter relating to the Site or Services — even if Bisoneva has been advised of the possibility of such damages.

IN NO EVENT SHALL BISONEVA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS PAID BY YOU TO BISONEVA FOR SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00) IF NO SERVICES WERE PURCHASED.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for certain types of damages. To the extent such laws apply to you, some or all of the above exclusions and limitations may not apply, and you may have additional rights. In such cases, Bisoneva's liability shall be limited to the maximum extent permitted by applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Bisoneva Limited Company, its members, officers, directors, employees, agents, contractors, licensors, service providers, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your access to or use of the Site or Services;
• Any information or content you submit, post, or transmit through the Site;
• Your violation of these Terms or any applicable law or regulation;
• Your violation of any third-party rights, including without limitation any intellectual property, privacy, or proprietary rights; or

Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services that cannot be resolved informally shall be resolved through one of the following mechanisms, at Bisoneva's election:

• Litigation: You agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Maricopa County, Arizona, and waive any objection to such jurisdiction or venue on grounds of inconvenience or otherwise; or
• Binding Arbitration: Bisoneva may elect to resolve the dispute through final and binding arbitration conducted under the rules of a recognized arbitration body, with proceedings conducted in Maricopa County, Arizona. Judgment on any arbitration award may be entered in any court of competent jurisdiction. If arbitration is elected, you waive your right to a trial by jury and to participate in a class action.

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property or confidential information rights.

Any claim arising under these Terms must be brought within one (1) year after the cause of action arises, or such claim is permanently barred.

15. Waiver and Severability

Waiver. No failure or delay by Bisoneva in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. No single or partial exercise of any right, power, or remedy under these Terms shall preclude or restrict any further or other exercise of any right, power, or remedy. Any waiver by Bisoneva of any provision of these Terms in a particular instance shall not be construed as a continuing or general waiver of that provision.

Severability. If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be invalid, unlawful, void, or unenforceable for any reason, that provision shall be deemed severed from these Terms and shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect. The severed provision shall be modified to the minimum extent necessary to make it enforceable, if possible.
